TRANSPARENCY DECLARATIONS 2008

On October 31, 2008 the Company received a transparency declaration from the surviving parties to the Syndicate Agreement acting in concert, according to which, on September 1, 2008, the members of the Liberty Global Consortium held 51.70 % of the outstanding voting securities, the Financial Consortium held 3.65 % of the outstanding voting securities. The members of the Liberty Global Consortium together with the members of the Financial consortium held on September 1, 2008, 54.40 % of the outstanding voting securities. The declaration also mentions the participations of companies associated to members of the Financial consortium.
On October 23, 2008 the company received a transparency declaration from Fortis Investments Management SA, according to which Fortis Investments Management holds on S eptember 1, 2008 5,74 % of the outstanding voting securities and 5,47 % of the total number of voting securities on a fully diluted basis.
On August 28, 2008, the Company received a notification (document available in Dutch only) from LGI Ventures B.V. and from other companies acting in concert with LGI Ventures B.V. in accordance with article 74, §7 of the Law of April 1, 2007 on public take-overs, according to which LGI Ventures B.V. declares to hold a stake in Telenet Group Holding NV that exceeds 30% of the total share capital.
On July 31, 2008 the company received a transparency declaration from Fortis Investments Belgium SA, according to which Fortis Investments holds on the date of the declaration 5,29 % of the outstanding voting securities and 5,04 % of the total number of voting securities on a fully diluted basis.
On June 20, 2008 the company received a transparency declaration from the surviving parties to the Syndicate Agreement acting in concert, according to which the members of the Liberty Global Consortium together with the members of the Financial Consortium hold on the date of the declaration 55,36 % of the outstanding voting securities and 52,77 % of the total number of voting securities.
